Swedish search and rescue helicopter
financing

In October 2008 Linklaters acted for SEB
Finans AB on the purchase and long-term helicopter financing of two
Sikorsky S76A helicopters from Heli-One Leasing Inc, a subsidiary
of CHC Helicopter Corporation for the domestic search and rescue
operations of a Swedish operator.
This is not the first deal of this kind it has done. Two years ago
it also acted for SEB Finans AB on a long-term helicopter financing
of a Sikorsky S92 helicopter for the UK search and rescue operation
of CHC Scotia Limited. The structure included a residual value
guarantee from the lessee and the manufacturer as well as various
security, purchase option and financial covenant arrangements.

Aircraft portfolio financing

Acted for DAE Capital, a division of Dubai
Aerospace Enterprise (DAE) Ltd., on its acquisition and financing
of a portfolio of 21 aircraft from GE Commercial Aviation Services.
They are currently leased to 11 airlines based in 10 different
jurisdictions. Eight A330-200 aircraft with Emirates are on sale
and leaseback.

Advised Flightlease on the financing of 30
aircraft of which 22 were Export Credit Agency-backed financings
involving a variety of structures such as off balance sheet
financings, Japanese Operating Lease financings, interim financing,
and sale and leaseback structures.

Advised FL Group hf. the parent company of
Icelandair, in relation to the financing of a total of 35 aircraft,
involving a range of structures such as sale and leaseback,
pre-delivery payment, and long-term finance.

Acted for Swiss International Airlines Ltd
on its financing of nine Airbus A340-300 arranged by Airbus
Financial Services; on the sale and leaseback of one CFM 56-5C4/P
engine (used on Swiss’s A340-300 fleet) with Engine Lease Finance
Corporation; advised on its working capital facility (secured on 25
A330, A320 and RJ100 aircraft); advised on its sub-leasing in of
A340, A330, A320 and RJ100 aircraft and sub-leasing of ERJ145
aircraft; and on the $330 million refinancing of five Airbus
A340-300 aircraft.

Various corporate aircraft financings

Advised UBS Leasing AG on the financings of
14 aircraft, including Airbus Corporate Jets, Boeing Business Jets,
Gulfstream Corporate aircraft, Dassault Falcon aircraft, Lear Jet
aircraft and others, for a number of private clients of UBS.

The transactions involve both loan and lease
structures and aircraft registered in a variety of jurisdictions
and operated by different operators.

Advised Deutsche Bank AG on the lease
financing of one new Airbus A319 corporate jet to be operated by
Kingfisher Airlines Limited. Deutsche Bank’s first aircraft
financing into India.

Advised Norwegian Air Shuttle ASA on its
first ever aircraft financing, the US$133 million pre-delivery
payment financing of 10 Boeing B737-800 aircraft.

Boeing B737-800 aircraft to Mitsubishi UFJ.

Advised Dubai Aerospace Enterprise Ltd in
relation to its purchase of eight used Airbus A330 aircraft from
Emirates in a sale and leaseback deal financed by a syndicate of
banks and on its agreement to lease three B777-300ER aircraft to
Air New Zealand.

total of 47 Airbus aircraft, 24 of which were Export Credit
Agency-backed, using a variety of structures such as German
Leveraged Lease financing, Japanese Operating Lease financing,
international operating lease (INTOL) financings, Export Credit
Agency-backed Islamic financing, synthetic operating lease
financing, finance lease financing and French tax-based lease
financing.

Advised Arab Banking Corporation on the
long-term aircraft financing for the purchase of three Airbus
A340-313 aircraft operated by Gulf Air; on the refinancing of four
Airbus A340-313 Aircraft operated by Gulf Air and Etihad Airways;
and on the financing for the purchase of one Airbus A340-313
aircraft.

Acted for HSBC Bank plc on the ECGD-backed
off-balance sheet financing and subsequent restructuring of seven
BAE Systems RJ-70 and RJ-85 aircraft operated by Air Malta and
ultimate disposal of their ownership interests.

Acted for SkyEurope Airlines, a.s. on the
operating lease of a total of 23 Boeing 737-500 aircraft; on its
acquisition of up to 20 new Boeing 737-700G aircraft; and on a
pre-delivery payment US dollar term loan facility relating to the
financing of pre-delivery payments in respect of nine Boeing
737-7GL aircraft and subsequent $132 million long-term loan
facility in respect of four Boeing 737-7GL aircraft.
